These Terms & Conditions ("Terms") govern your access to and use of the Naksti platform (the "Service"). By registering for an account, accessing, or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Description

3. Business-to-Business Service

Naksti is a B2B service. The Service is intended for use by business entities, sole proprietors, and professionals providing services to their own clients.

You represent and warrant that you are registering on behalf of a legitimate business entity or as a self-employed professional, and that you have the authority to bind such entity to these Terms. The Service is not intended for personal or consumer use.

4. Account Registration and Eligibility

4.1 Registration Requirements

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account

4.2 Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security.

4.3 Account Verification

We reserve the right to verify the information you provide and to refuse or revoke access to the Service if we determine that the information is inaccurate or that your use of the Service violates these Terms.

5. Subscription Plans and Fees

5.1 Available Plans

We offer multiple subscription plans with varying features and pricing:

  • Free Plan: €0/month — Basic features for getting started
  • Starter Plan: Best for solo service professionals starting out
  • Plus Plan: Best for growing service businesses
  • Business Plan: Best for established service businesses with advanced needs

Current pricing and detailed plan features are available on our website at naksti.eu/en/pricing. The features and limitations of each plan may change from time to time; in such cases, Section 15 (Modifications) applies.

5.2 Billing Cycles

Subscriptions are billed on a monthly or annual basis, depending on your selected plan. Annual plans offer a discount compared to monthly billing. The billing cycle begins on the date of your first successful payment and renews on the corresponding date of each subsequent period.

5.3 Price Changes

We reserve the right to change our prices at any time. Price changes will be communicated to you by email at least 30 days in advance and will apply from your next billing cycle. If you do not agree to the price change, you may cancel your subscription before the new price takes effect. Continued use of the Service after the price change constitutes acceptance of the new pricing.

5.4 Plan Upgrades and Downgrades

You may upgrade your plan at any time. Upgrades take effect immediately upon successful payment for the new plan. You may downgrade your plan or cancel your subscription at any time through your account settings. Downgrades take effect at the end of your current billing period. Upon downgrade, features and resources exceeding the limits of the new plan may be deactivated, and you will be given a reasonable period to adjust your configuration accordingly.

5.5 Taxes

All prices are stated in Euros (EUR) and exclude applicable taxes unless otherwise stated. Sobrio OÜ is not registered in the VAT system. If your jurisdiction requires the collection of sales tax, VAT, or other taxes, you are responsible for the assessment and payment of such taxes.

6. Payment Terms

6.1 Payment Methods

Payments are processed through our third-party payment providers:

  • Maksekeskus (MakeCommerce) — for bank link payments (Swedbank, SEB, LHV, Luminor, Coop Pank, and other supported banks). Each billing period requires manual payment initiation.
  • Stripe — for credit/debit card payments with support for automatic recurring billing.

6.2 Payment Processing

Your payment information is processed directly by our payment providers (Maksekeskus or Stripe) and is not stored on our servers. By using the Service, you agree to the respective payment provider's terms of service and privacy policy.

6.3 Subscription Renewal and Automatic Billing

When purchasing a subscription, you explicitly acknowledge and agree to the following renewal terms:

  • Automatic renewal (Stripe): If you subscribe using a credit or debit card via Stripe, your subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current subscription price, unless you cancel prior to the renewal date. By subscribing, you expressly authorize Sobrio OÜ and Stripe to charge the applicable fees to your payment method on a recurring basis.
  • Manual renewal (Maksekeskus): If you subscribe using a bank link via Maksekeskus, your subscription does not renew automatically. You must initiate payment for each billing period. If payment is not received by the renewal date, your subscription may lapse.

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.

6.4 Failed Payments and Lapsed Subscriptions

If a payment fails, is declined, or is not completed by the renewal date, your account will be downgraded to the Free plan. Upon downgrade, features and resources exceeding the Free plan limits will be subject to the downgrade resolution process described in Section 5.4. You will retain access to your data, but paid features will remain disabled until a successful payment is received and a new subscription is activated.

6.5 Refund Policy

Payments are generally non-refundable. However, if you are dissatisfied with the Service within the first 14 days of your initial paid subscription, you may request a full refund by contacting us at [email protected]. This 14-day refund right applies only to your first paid subscription and does not apply to renewals, upgrades, or subsequent subscriptions. Refunds beyond this period are at our sole discretion.

7. Service Availability and Support

7.1 Service Uptime

We strive to maintain high availability of the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

7.2 Scheduled Maintenance

However, no system is completely secure, and we cannot guarantee absolute security of your data. You are responsible for maintaining the security of your own account credentials and devices.

9.6 Data Backup and Retention

We perform regular encrypted backups of your data. Upon termination of your account, your data will be retained for 30 days, during which you may export your data or request a data export. 13. Indemnification

You agree to indemnify, defend, and hold harmless Sobrio OÜ, its officers, directors, employees, and agents from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
